FRIENDS OF WOODHALL SPA COTTAGE MUSEUM

THE RULES

1. Name

The name of the society shall be the “The Friends of Woodhall Spa Cottage Museum”.

2. Objectives

The objectives of The Friends of Woodhall Spa Cottage Museum are to support, further the work of, and to raise funds for the benefit of the Woodhall Spa Cottage Museum.

3. Income and Property

The income and property of The Friends of Woodhall Spa Cottage Museum, however acquired, shall be utilised solely for the promotion of the objectives of the Woodhall Spa Cottage Museum Board of Directors and no portion thereof shall be paid directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to the members of The Friends of Woodhall Spa Cottage Museum.

4. Membership

Membership of The Friends of Woodhall Spa Cottage Museum shall be open to any person or group interested in supporting the objectives of the Woodhall Spa Cottage Museum and may include the following classes of membership:
Corporate
Group or Society
Family Group
Individual

Schools interested in supporting the interests and objectives of Woodhall Spa Cottage Museum may be granted Honorary Membership.

5. Annual donation
(a) An annual donation shall become due on 1 August in each year, and if any donation has not been received by that date, membership shall be deemed to have lapsed.
(b)
The rate of such a donation to be paid shall be determined by the Annual General Meeting of The Board of Directors of Woodhall Spa Cottage Museum.

6. Administration:
a. All funds of the Friends of Woodhall Spa Cottage Museum shall be in the hands of the elected Treasurer of the Woodhall Spa Cottage Museum Board of Directors, and shall be the property of Woodhall Spa Cottage Museum.
b. The Management Committee of The Friends of Woodhall Spa Cottage Museum shall be the Chairman, Secretary, Membership Secretary and Newsletter Editor.
c. The Chairman and one other member of the Committee shall be nominated by the Board of Directors and the others shall be elected by the membership of the Friends Group.
d. Three members of the Committee shall constitute a quorum.
e. The Committee shall meet at regular intervals as it thinks fit.
f. The Committee members shall each have one vote on issues arising at meetings of the Committee. All questions coming before the Committee shall be decided by a majority of the members of the Committee present at the meeting of the Committee. Where there is an equality of votes, the Chairman of the meeting shall have a second or casting vote.
g. The elective members shall be elected at the Annual General Meeting.
h. The Secretary shall keep minutes of the meetings of The Friends of Woodhall Spa Cottage Museum Committee.

7. Benefits of Membership Membership of The Friends of Woodhall Spa Cottage Museum shall entitle its members to: (a) Receive an annual report on the work of The Friends of Woodhall Spa Cottage Museum;
(b) Receive newsletters;
(c) Attendance at any General Meeting of The Friends of Woodhall Spa Cottage Museum;
(d) Free entrance to the Woodhall Spa Cottage Museum;

8. Meetings (a) The Annual General Meeting shall take place within three months after the end of the financial year, and the Secretary shall give 14 days notice thereof to all members;
(b) At the Annual General Meeting, the Committee shall;
(i) present a report of the activities of The Friends of Woodhall Spa Cottage Museum;
(ii) receive suggestions for the following year’s programme;
(iii) conduct such other business as may be necessary;
(c) An Extraordinary General Meeting must be convened by the Secretary upon a request made by the Chairman of the Committee or ten members of The Friends of Woodhall Spa Cottage Museum. 14 days notice shall be given of such a meeting and the notice shall state the business to be considered at the meeting.
(d) At Annual General Meetings and Extraordinary General Meetings, members present shall have one vote. In the event of equality of votes the Chairman of the meeting shall have a second or casting vote.
(e) The accidental failure to g
ive notice of a meeting to any member shall not invalidate the meeting. (f) A quorum at an Annual General Meeting and Extraordinary General Meeting shall by 1/10 of the total voting membership or 10 voting members whichever is less.

9. Variation of Rules
No rule of The Friends of Woodhall Spa Cottage Museum shall be made, varied or rescinded except by resolution passed by the Chairman and 70% of members voting at a General Meeting and a notice of any such meeting shall specify the proposed alteration.

10. Dissolution
If the Committee of the Friends of Woodhall Spa Cottage Museum decides that on the grounds of expense or otherwise that The Friends of Woodhall Spa Cottage Museum shall be dissolved, it shall call a Special General Meeting of The Friends of Woodhall Spa Cottage Museum by giving 21 days notice in writing to each member stating the terms of the dissolution.

11. Notices
Notices referred to in these rules shall be deemed to be served when posted to the last known address of a member.
